Summary

This role will be responsible for the day to day activities in administrating the Company’s equity and 401K programs, which includes all aspects of reporting, reconciliation, and recordkeeping. 

This position will ensure the accuracy and integrity of all equity and 401(k) data in the record tracking systems and will work closely with employees and other functional groups.  

• Manages the different types of Equity Plans maintained by the Company

• Administers the Company’s ESPP plan

• Manages the third-party recordkeeping system 

• Processes all types of stock grants, exercises, lapses, and reports for payroll and taxes purposes (including Performance Stock, Restricted Stock, Stock Units, Non-Qualified Stock Options, and ESPP).

• Responsible for SEC Section 16 filings, 10b5-1 plans, and stock ownership compliance administration.

• Interacts with transfer agent and third-party stock administrator to ensure that trades are settled timely; reconciles DWAC instructions and transfer agent activities

• Maintains stock plan documentation for both internal and SOX compliance

• Responsible for handling the internal operation of the 401(k) Plan ensuring administration complies with plan provisions and legal compliance, including that all employee data is complete and accurate and processes all annual requirements (non-discrimination testing & true-up accruals)

• Assist in managing, preparing, and coordinating the 401 (k) committee materials and meetings

• Coordinates all internal and external audits (e.g. DOL, IRS, 401(k) annual audits)

• Responds to employee inquires and coordinates with internal teams and vendors as appropriate to resolve issues

• Responsible for basic and advanced reporting on equity and 401(k)

• Performs other related duties

Qualifications

  • CEP - Certified Equity Professional certification a plus
  • Proven ability to partner with cross-functional teams, including Legal, Tax, Payroll, Finance and Human Resources.

Requirements

• BS/BA in Accounting, Finance, or Business a plus;

• Minimum 7 years of experience in public company stock administration and 401(k) plans

• Experience working with different types of Equity & ESPP Plans, both US and International

• Experience with third-party recordkeeping systems

• Understanding of Directors and Officers SEC Section 16 reporting and Proxy requirements
